Referral & Ambassador Terms

These Ambassador Program Terms (“Program Terms”) govern participation in the Activity Directors Pay Activity Directors (“ADPAD,” “we,” “our,” or “the Platform”) Ambassador & Referral Program.

These Program Terms are incorporated into and subject to the Platform Terms of Service. By applying to or participating in the Ambassador Program, you agree to these Program Terms in full.


1. Independent Relationship

ADPAD ambassadors, referral partners, and program participants are independent participants and are not employees, agents, representatives, franchisees, partners, or contractors of ADPAD or Sensory Together.

Participation in this program does not create:

  • an employment relationship,
  • partnership,
  • joint venture,
  • agency relationship,
  • or guaranteed income opportunity.

Participants are solely responsible for their own activities, taxes, reporting obligations, and compliance with applicable laws and regulations.


2. Program Overview

The ADPAD Ambassador Program allows approved participants to promote the ADPAD marketplace and share assigned referral codes for eligible seller signups.

Referral bonuses currently apply only to eligible purchases of:

  • Lifetime Seller Access

A referral qualifies only when:

  • the referral code is entered at checkout,
  • the order is successfully completed,
  • payment is successfully processed,
  • and the transaction remains valid and non-refunded.

Participation in the program does not guarantee referrals, traffic, sales, or earnings.


3. Referral Bonus Amounts

Approved ambassadors are currently eligible to receive:

  • $5 USD per eligible seller referral

Referral bonus amounts, structures, promotions, discounts, and incentives may be modified, adjusted, suspended, or discontinued at any time at the Platform’s sole discretion.


4. Payout Terms

Referral bonuses are processed monthly via PayPal.

To remain eligible for payouts, participants must:

  • maintain accurate account information,
  • maintain a valid PayPal account,
  • and comply with all Platform policies and Program Terms.

The Platform reserves the right, at its sole discretion, to:

  • delay payouts,
  • withhold payouts,
  • reverse payouts,
  • adjust payouts,
  • deny payouts,
  • or remove referral eligibility

for reasons including, but not limited to:

  • refunds,
  • chargebacks,
  • payment disputes,
  • suspected fraud,
  • suspicious activity,
  • policy violations,
  • inaccurate information,
  • abuse of the referral system,
  • or violations of these Program Terms.

If a previously paid referral later results in a refund, dispute, fraud claim, chargeback, cancellation, or payment reversal, the Platform reserves the right to deduct or reverse the associated referral amount from future payouts.


5. Prohibited Conduct

Participants agree to promote ADPAD honestly, professionally, respectfully, and in compliance with applicable laws and platform policies.

The following activities are strictly prohibited:

  • Spam posting
  • Unsolicited bulk messaging
  • Misleading income claims
  • False or deceptive advertising
  • Harassment or abusive conduct
  • Fake referrals or fake accounts
  • Self-referrals
  • Coupon abuse or referral manipulation
  • Impersonating ADPAD staff or representatives
  • Misrepresenting ADPAD products, services, sellers, or policies
  • Creating misleading “official” ADPAD pages, groups, or accounts
  • Using deceptive marketing tactics or false urgency
  • Promoting ADPAD in ways that violate third-party community rules or platform policies

The Platform reserves the right to remove participants from the program immediately for conduct deemed harmful, misleading, abusive, unethical, fraudulent, or inconsistent with the ADPAD brand or community standards.


6. FTC & Advertising Disclosure Compliance

Participants must clearly disclose referral relationships when promoting ADPAD.

This includes disclosing that:

  • you may receive compensation,
  • referral bonuses,
  • commissions,
  • discounts,
  • or other incentives tied to referrals.

Examples may include:

  • “I may earn a referral bonus if you sign up using my referral code.”
  • “This post contains my referral code.”

Participants are solely responsible for complying with applicable advertising, disclosure, endorsement, and marketing laws, including applicable FTC guidelines.


7. Intellectual Property & Brand Usage

Participation in the Ambassador Program does not grant ownership rights to any ADPAD branding, trademarks, graphics, logos, content, or intellectual property.

Participants may not:

  • alter or misuse ADPAD branding in misleading ways,
  • claim ownership of ADPAD branding,
  • represent themselves as employees of ADPAD,
  • or present themselves as official representatives without written permission.

The Platform reserves the right to request removal of branding, promotional materials, or content that violates these terms.


8. Program Changes & Termination

The Platform reserves the right, at its sole discretion, to:

  • modify the Ambassador Program,
  • change referral bonus structures,
  • revoke referral codes,
  • deny applications,
  • suspend accounts,
  • terminate participation,
  • or discontinue the program

at any time, for any reason, with or without notice.

Participants may stop participating in the program at any time.

The Platform is not responsible for any perceived lost income, future commissions, referral expectations, or business opportunities resulting from changes to or termination of the program.


9. Limitation of Liability

To the fullest extent permitted by law, ADPAD and Sensory Together shall not be liable for:

  • indirect damages,
  • incidental damages,
  • consequential damages,
  • lost profits,
  • lost business opportunities,
  • lost referral income,
  • business interruption,
  • or data loss

arising from participation in the Ambassador Program.

Participation in the program is voluntary and at your own risk.


10. Governing Law

These Program Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

Any disputes arising from these Program Terms shall be handled in the appropriate courts located within that jurisdiction.


11. Acceptance of Terms

By applying to or participating in the ADPAD Ambassador Program, you acknowledge that:

  • you have read and understood these Program Terms,
  • you agree to comply with these Program Terms,
  • and you understand the Platform may modify or terminate the program at any time.

12. Taxes & Tax Documentation

Participants are solely responsible for determining, reporting, and paying any applicable local, state, federal, or international taxes associated with referral bonuses or other compensation received through the Ambassador Program.

The Platform does not provide tax advice and is not responsible for participant tax obligations or reporting requirements.

The Platform reserves the right to request tax documentation, including but not limited to completed W-9 forms or equivalent documentation, as required for payment processing, tax reporting, legal compliance, or applicable reporting thresholds.

Participants whose payouts meet applicable reporting thresholds may receive tax reporting documentation, including Form 1099s or similar tax forms where required by law.

Failure to provide requested tax documentation may result in delayed, withheld, suspended, or denied payouts.

13. No Guarantee of Acceptance

Submission of an application does not guarantee acceptance into the Ambassador Program.

The Platform reserves the right to approve, deny, suspend, or remove participants at its sole discretion.


14. Third-Party Platform Compliance

Participants are solely responsible for complying with the rules, terms, policies, and community standards of any third-party platform, website, social media platform, online group, or community where they promote ADPAD.

The Platform is not responsible for participant violations of third-party platform rules or resulting account restrictions, bans, removals, or penalties.


15. Eligible Referrals & Referral Attribution

Eligible referrals must be new seller accounts that:

  • complete a qualifying purchase using the participant’s assigned referral code,
  • are not existing sellers,
  • are not duplicate accounts,
  • are not self-referrals,
  • and are not determined to be fraudulent or abusive.

Referral tracking, attribution, qualification, and payout eligibility are determined solely by the Platform’s systems, records, and verification processes.

The Platform does not guarantee exclusive referral ownership, territory rights, or referral attribution in disputed situations.
