Welcome to Activity Directors Pay Activity Directors (“we,” “us,” “our,” or the “Platform”). These Terms of Service (“Terms”) govern your access to and use of https://www.activitydirectorspayactivitydirectors.com/ (the “Website”), including all marketplace features, seller services, and digital products.
By accessing or using this Website, creating an account, purchasing a product, or registering as a seller, you agree to be bound by these Terms.
1. PLATFORM OVERVIEW
Activity Directors Pay Activity Directors is a peer-to-peer digital marketplace where activity professionals can buy, sell, and download digital activity materials.
We provide the platform and marketplace infrastructure. Individual sellers are responsible for the content, quality, accuracy, and legality of the products they upload.
2. ELIGIBILITY
You must be at least 18 years old to use this Website, purchase products, or register as a seller.
By using this Website, you represent that you meet this requirement.
3. USER ACCOUNTS
To access certain features, you may need to create an account.
You agree to:
- Provide accurate information
- Keep your login credentials secure
- Notify us of unauthorized account use
We reserve the right to suspend or terminate accounts that violate these Terms.
4. DIGITAL PRODUCTS & PURCHASES
All products sold on this Platform are digital downloads unless otherwise stated.
By purchasing a product, you agree that:
- You are purchasing a digital file, not a physical product
- All sales of digital downloads are final
- Due to the nature of digital products, refunds are not provided once access has been granted, except where required by applicable law.
- Digital products are non-refundable once accessed or downloaded
- You may not resell, redistribute, share, or upload purchased files
Each purchase grants you a limited, non-transferable license for personal or organizational use only, unless otherwise stated by the seller. All digital purchases are subject to the Digital Product License & Usage Rights section below.
Digital Product License & Usage Rights
All products sold on the Platform are digital downloads and are licensed, not sold.
Upon purchase, the buyer is granted a limited, non-exclusive, non-transferable license to use the purchased materials for personal, professional, or internal organizational use only, unless otherwise stated by the seller.
Buyers may not:
- Resell, redistribute, or sublicense the materials
- Share files publicly or privately outside their organization
- Upload materials to file-sharing websites or online marketplaces
- Modify and resell the materials as their own
- Claim ownership of the content
Purchase of a digital product does not transfer copyright ownership.
All intellectual property rights remain with the original seller.
Unauthorized reproduction, distribution, or resale of digital products may result in account termination and potential legal action.
The Platform reserves the right to revoke access to users who violate these license terms.
Because products are digital downloads delivered electronically, buyers acknowledge that certain consumer protection rights applicable to physical goods may not apply once digital access has been granted or download access has been provided, to the fullest extent permitted by applicable law.
5. SELLER REGISTRATION
To sell on the Platform, you must:
- Complete the seller registration process
- Pay the one-time $29 registration fee (non-refundable)
- Provide accurate business and payment information
- Agree to the Terms of Service, Seller Code of Conduct, and all applicable Platform policies
- Maintain a valid PayPal account to receive payouts
Sellers must complete all required profile information within their seller dashboard before submitting or listing products for sale. The Platform reserves the right to restrict product submissions or suspend seller access until required information is completed and verified.
Seller registration does not guarantee approval. We reserve the right to approve, deny, or remove seller accounts at our discretion.
By creating a seller account, submitting products for approval, or listing products on the Platform, sellers acknowledge and agree to be bound by these Terms of Service, the Seller Code of Conduct, and all applicable Platform policies.
6. SELLER RESPONSIBILITIES
Sellers agree that:
- They own or have legal rights to all content uploaded
- Their materials do not infringe on copyrights, trademarks, or intellectual property
- Their products comply with all applicable laws
- Product descriptions are accurate
Sellers are solely responsible for their uploaded materials.
We reserve the right to remove any product that violates these Terms or applicable law.
All product listings are subject to review and approval prior to publication. The Platform reserves the right to approve, reject, request revisions, or remove listings at its sole discretion.
7. COMMISSIONS, PAYOUTS & PAYMENT ADJUSTMENTS
Sellers retain 80% of the sale price of their approved products sold through the Platform. The Platform retains 20% of each sale as a marketplace service fee, which includes payment processing fees and operational costs.
Seller earnings become eligible for payout after order completion and any applicable verification period to account for refunds, disputes, or chargebacks.
Payouts are processed manually via PayPal within the first 5 business days of each month for the previous month’s completed and non-refunded sales, provided the seller has eligible earnings available.
The Platform reserves the right to adjust payout timing in cases of fraud review, disputes, chargebacks, or other verification requirements.
Sellers must maintain a valid PayPal account and provide an accurate PayPal email address within their seller account to receive payment. The Platform is not responsible for payments sent to an incorrect PayPal email address provided by the seller.
The Platform reserves the right to delay, withhold, adjust, or suspend payouts in cases including, but not limited to:
- Suspected fraud or policy violations
- Intellectual property disputes
- Chargebacks or payment reversals
- Incomplete or inaccurate seller payment information
- Violations of these Terms
Platform Right to Modify Fees
Commission structures, payout terms, marketplace fees, service fees, or commission percentages may be modified with reasonable notice to sellers.
Minimum Payout Threshold
The Platform reserves the right to establish, modify, or waive minimum payout thresholds for seller disbursements at its sole discretion, with reasonable notice to sellers where applicable. If a seller’s eligible earnings do not meet the applicable payout threshold, such earnings may roll over to a future payout period until the threshold is met.
Referral Program Terms
The Platform may offer referral bonuses, incentives, discounts, ambassador programs, affiliate programs, or other promotional programs from time to time at its sole discretion. Such programs may be modified, suspended, or terminated at any time without prior notice.
Referral bonuses and promotional payouts are subject to verification and may be withheld, reversed, forfeited, adjusted, or denied at the Platform’s sole discretion in cases including, but not limited to, suspected fraud, abuse, self-referrals, cancellations, refunded purchases, duplicate accounts, chargebacks, policy violations, or any activity deemed inconsistent with the intent of the program.
Participation in any referral, ambassador, affiliate, or promotional program may also be subject to separate program-specific terms and conditions, which are incorporated into these Terms by reference.
Dormant Seller Balances
The Platform reserves the right to manage dormant, inactive, or unclaimed seller balances in accordance with applicable law and internal payout policies. Sellers are responsible for maintaining accurate payout information and ensuring their account remains eligible for payout.
Tax Responsibility
Sellers are solely responsible for determining, reporting, and paying any applicable local, state, federal, or international taxes on earnings received through the Platform, including income taxes, VAT, GST, or similar taxes where applicable.
The Platform does not provide tax advice and is not responsible for seller tax obligations, tax reporting, or compliance with international tax laws.
Tax Documentation & Reporting
The Platform reserves the right to request tax documentation from sellers, including but not limited to completed W-9 forms or equivalent tax documentation, as required for payout processing, tax reporting, or legal compliance. Sellers agree to provide accurate and timely tax information upon request. Failure to provide requested documentation may result in delayed or withheld payouts.
Sales Tax on Buyer Purchases
Applicable sales tax may be added to customer purchases where required by law. Sales tax collected on transactions is not considered seller revenue and is excluded from seller commission calculations and payout amounts. Seller commissions are calculated based on the product sale price, excluding taxes collected, and after any applicable refunds, discounts, or adjustments.
Tax Reporting Thresholds
Sellers and referral recipients whose payouts meet applicable reporting thresholds may be issued tax reporting documentation as required by law. The Platform reserves the right to request necessary tax forms and information to comply with reporting obligations.
Independent Contractor Status
Sellers operate as independent contractors and are not employees, partners, or agents of the Platform. The Platform does not act as an agent for sellers and is not responsible for negotiating or enforcing seller obligations beyond the scope of marketplace services. Nothing in these Terms creates an employment, partnership, or joint venture relationship between the Platform and any seller.
Chargebacks, Refunds & Payment Reversals
Because the Platform distributes earnings from digital product sales, sellers acknowledge that transactions may be subject to refunds, chargebacks, payment disputes, or reversals initiated by buyers, financial institutions, or payment processors.
In the event of:
- A chargeback
- A payment dispute
- A refund issued by the Platform
- A payment processor reversal
- Fraud or unauthorized transaction claims
The associated sale amount and corresponding seller earnings may be reversed or deducted from the seller’s available balance.
If earnings have already been paid out, the Platform reserves the right to deduct the applicable amount from future seller payouts.
The Platform retains sole discretion in reviewing and resolving disputes and determining whether funds should be withheld, reversed, or adjusted.
Sellers acknowledge that chargebacks and payment disputes are a normal risk of operating in digital commerce and agree that the Platform is not responsible for covering disputed funds on behalf of sellers.
8. MARKETPLACE DISCLAIMER
We act solely as a marketplace platform.
We do not:
- Guarantee product quality
- Endorse specific sellers
- Verify every uploaded file
- Assume liability for seller content
Any dispute regarding product quality, accuracy, or usage should first be addressed with the seller.
9. INTELLECTUAL PROPERTY
All Website content, branding, logos, graphics, and text (excluding seller-uploaded materials) are the property of Activity Directors Pay Activity Directors.
You may not copy, reproduce, or distribute any part of the Website without permission.
Seller-uploaded content remains the property of the seller.
10. PROHIBITED ACTIVITIES
You may not:
- Upload stolen or copyrighted materials you do not own
- Attempt to hack, disrupt, or interfere with the Website
- Use automated scraping tools
- Harass other users
- Misrepresent your identity
Violation may result in account termination.
11. TERMINATION
We reserve the right to suspend or terminate accounts or remove content at our discretion, including for violations of these Terms.
Right to Remove or Refuse Any Listing
The Platform reserves the right to refuse, remove, or restrict any listing or seller account for any reason deemed necessary to protect marketplace integrity.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Activity Directors Pay Activity Directors shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits or data
- Seller content accuracy
- Misuse of downloaded materials
Your use of the Website is at your own risk.
13. INDEMNIFICATION
You agree to indemnify and hold harmless Activity Directors Pay Activity Directors from claims, damages, or legal expenses arising from:
- Your violation of these Terms
- Seller content you upload
- Misuse of purchased materials
14. FORCE MAJEURE
The Platform shall not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, severe weather, governmental actions, payment processor outages, internet service disruptions, technical failures, labor disputes, or other unforeseen circumstances outside the Platform’s control.
This clause applies to payout processing, platform availability, and other marketplace services.
15. MODIFICATIONS TO THE TERMS
We may update these Terms at any time.
Changes will be effective upon posting. Continued use of the Website constitutes acceptance of updated Terms.
16. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. without regard to conflict of law principles. Sellers and users agree that any legal action shall be brought in the appropriate courts within that jurisdiction.
